By accessing and using our services, including but not limited to our website, mobile applications, features, and other functionalities (collectively referred to as the “Services”), you enter into a binding agreement with Nuvolog Teknoloji A.Ş., headquartered at Atatürk Mah., Ertuğrul Gazi Sk., Metropol İstanbul Sitesi, D2 Blok, No:2 R/15 34758 Ataşehir, İstanbul, Türkiye (“Nuvolog,” "we," "us," or "our").

These Terms of Service (“Terms”) govern your use of our Services and are important for both you and Nuvolog as they set forth our legal rights and obligations. Alongside our Privacy Policy, these Terms serve as a comprehensive guide to your use of Nuvolog’s Services. By accessing, registering for, or using our Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms, including any additional terms and policies referenced herein. Except as expressly stated herein, these Terms do not grant you any rights to use Nuvolog's intellectual property. You agree not to use, copy, adapt, modify, prepare derivative works based upon, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit the Services, except as expressly permitted in these Terms.

User Content

You may submit, upload, publish or otherwise make available to Nuvolog textual, audio, and/or visual content and information ("User Content"). You retain all rights in, and are solely responsible for, the User Content you post to the Services. You grant Nuvolog a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and display your User Content in connection with the operation of the Services.

Disclaimers & Limitations of Liability

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NUVOLOG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF PERFORMANCE.

NUVOLOG, ITS AFFILIATES, AND ITS LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; AND (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT NUVOLOG HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

Indemnification

You agree to defend, indemnify, and hold harmless Nuvolog, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services, or your violation of these Terms.

Termination

Nuvolog reserves the right to terminate these Terms or suspend or terminate your Account and access to the Services immediately, with or without cause, with or without notice. All provisions of these Terms, which by their nature should survive termination, shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Governing Law and Jurisdiction

The laws of Turkey will govern these Terms and any action related thereto without regard to its conflict of laws provisions. Any disputes arising from or relating to the subject matter of these Terms shall be finally settled in Istanbul, Turkey.

Modifications to the Terms and Services

Nuvolog reserves the right to modify these Terms at any time. If we make changes that affect your use of the Services, we will notify you by posting an updated version of these Terms on our website or through other communications. Your continued use of the Services after any such update constitutes your binding acceptance of such changes.

Miscellaneous

These Terms constitute the entire and exclusive understanding and agreement between Nuvolog and you regarding the Services, and these Terms supersede and replace any and all prior oral or written understandings or agreements between Nuvolog and you regarding the Services. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
